01 Agreement and Binding Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Rombex ("Rombex," "we," "us," or "our"). By accessing or using our websites, APIs, software, financial infrastructure, and other services (collectively, the "Services"), you agree to be bound by these Terms. PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN IMPORTANT INFORMATION REGARDING YOUR LEGAL RIGHTS, REMEDIES, AND OBLIGATIONS, INCLUDING A MANDATORY ARBITRATION PROVISION.
02 Eligibility and Account Registration
You represent and warrant that you are at least 18 years of age and possess the legal capacity to enter into a binding contract in your jurisdiction. You are responsible for maintaining the confidentiality of your login credentials and are fully responsible for all activities that occur under your account. You agree to notify Rombex immediately of any unauthorized access. Rombex operates primarily through business partnerships. To access specific features, you may be required to maintain a valid account with a Rombex Partner.
03 Services and Financial Infrastructure
Rombex provides technology infrastructure, including API integrations, fiat-to-stablecoin conversion services, and the provisioning of bank details for collections. Rombex is a technology provider, not a financial advisor or bank. Our Services are provided "as is," and you are solely responsible for your financial decisions. We may link to or integrate with third-party networks, exchanges, and validators. Rombex has no control over these third parties and is not responsible for their performance, downtime, or security practices.
04 Fees and Payment Policy
All fees paid to Rombex, including service set-up costs, are non-refundable. By initiating a service request, you acknowledge that Rombex incurs immediate costs and allocates resources; therefore, all fees are fully earned upon payment. Transactions may involve network "Gas Fees" which are variable and passed through to you at cost. Gas Fees are paid to network validators and are non-refundable. Transactions involving fiat conversion are subject to a currency spread of up to 1%, which covers the cost of facilitating cross-currency trades.
05 Intellectual Property
All content, software, APIs, designs, logos, and trademarks made available through the Services are the exclusive property of Rombex or its licensors and are protected by applicable intellectual property laws.
06 Prohibited Conduct
You agree not to: (a) Use the Services for any unlawful purpose or in violation of any applicable local, national, or international law; (b) Interfere with or disrupt the integrity or performance of the Services; (c) Attempt to gain unauthorized access to our systems or those of our Partners; (d) Use the Services to facilitate money laundering, terrorist financing, or other illegal financial activities.
07 Data Privacy
Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference. We are registered with UK data protection authorities and are committed to complying with the UK GDPR, Data Protection Act 2018, NDPR, and PIPEDA.
08 Limitation of Liability
To the maximum extent permitted by law, Rombex shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of your access to or use of the Services. Our total liability for any claim arising out of these Terms shall not exceed the amount paid by you to Rombex in the twelve (12) months preceding the claim.
09 Indemnification
You agree to indemnify, defend, and hold harmless Rombex, its affiliates, officers, and employees from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of your breach of these Terms or your misuse of the Services.
10 Modifications to Terms
We reserve the right to modify these Terms at any time. Significant changes will be communicated via our website or email. Continued use of the Services after such changes constitutes your acceptance of the updated Terms.
11 Governing Law and Arbitration
These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of law principles. Any dispute arising out of or in connection with these Terms shall be settled by binding arbitration in accordance with the rules of the relevant arbitration body in the United Kingdom.
